2. No Guaranteed Results
While we apply industry best practices and strategic recommendations, marketing outcomes may vary depending on factors beyond our control.
We do not guarantee:
- Specific revenue outcomes
- Ad performance
- Search rankings
- Lead volume
- Platform approvals
Past performance does not guarantee future results.
3. Client Responsibilities
Clients agree to:
- Provide accurate information
- Supply required assets and approvals on time
- Maintain access to necessary platforms/accounts
- Review deliverables promptly
Delays in communication or approvals may affect timelines and results.
4. Payments
Payment terms will be outlined in invoices or agreements.
Late or unpaid balances may result in:
- Project delays
- Service suspension
- Termination of services
All fees paid are non-refundable unless otherwise agreed in writing.
5. Intellectual Property
Unless otherwise stated:
- Clients retain ownership of their brand assets and content provided to us.
- Tugang Agency retains ownership of internal systems, frameworks, templates, strategies, and proprietary processes.
Final deliverables become the client’s property upon full payment unless restricted by third-party licensing.
6. Confidentiality
Both parties agree to keep confidential business information private unless disclosure is required by law.
7. Limitation of Liability
To the maximum extent permitted by law, Tugang Agency shall not be liable for:
- Indirect damages
- Lost profits
- Business interruption
- Platform outages
- Third-party service failures
Our total liability shall not exceed the total amount paid by the client for services rendered.
8. Third-Party Platforms
We are not responsible for:
- Meta account restrictions
- Google Ads suspensions
- Shopify outages
- Email deliverability issues caused by third-party systems
- Changes in platform algorithms or policies
9. Termination
Either party may terminate services at any time unless bound by a written contract.
Outstanding balances remain payable after termination.
10. Website Use
You agree not to:
- Attempt unauthorized access to the website
- Copy or reproduce website content without permission
- Use the website for unlawful purposes
11. Governing Law
These Terms shall be governed by the laws of the Republic of the Philippines.
